Terms of Service & Engagements

1. Engagement Model
iLikaris operates as an elite, direct senior software engineering practice led by Sourabh Sharma. Unlike traditional software development agencies that outsource work to junior developers, all client engagements feature direct 1-on-1 collaboration with principal engineering talent.
Each project engagement is formalized through a mutually agreed Statement of Work (SOW) or sprint retainer detailing deliverables, technical specifications, acceptance criteria, and milestones.
2. Intellectual Property (100% Client Ownership)
We maintain an unequivocal policy regarding intellectual property:
- Complete IP Transfer: Upon receipt of payment for invoiced milestones, 100% of all custom-written source code, documentation, schema designs, vector pipelines, and UI assets are permanently assigned and owned exclusively by the client.
- No Hostage Code: Repositories are hosted directly under the client's GitHub / GitLab organization from Day 1. You retain immediate and unfettered access throughout development.
- Open-Source Components: Any standard third-party libraries (React, Next.js, FastAPI, PyTorch) remain governed by their respective permissive licenses (MIT, Apache 2.0).
3. Confidentiality & Mutual NDA
We treat all client business concepts, algorithms, proprietary data, customer lists, and strategic roadmaps with the highest degree of confidentiality.
We execute formal Non-Disclosure Agreements (NDAs) prior to accessing proprietary databases or production infrastructure. We never showcase unreleased client features in public portfolios without explicit written consent.
4. Payments, Milestones & Currencies
Transparent pricing is a cornerstone of our practice. Engagements are billed via fixed-price milestone tiers or flexible monthly sprint retainers:
- Accepted Currencies: We invoice in USD ($), EUR (€), GBP (£), CAD ($), and AUD ($) to accommodate international clients without currency conversion penalties.
- Payment Terms: Invoices are settled via international wire transfer, Stripe, or standard commercial bank transfer within agreed net terms.
5. Code Quality & Warranty Period
All production code ships with comprehensive unit/integration test coverage, security sanitization, and structured documentation. Every milestone delivery includes a 30-day post-launch warranty period during which any functional defects or regressions discovered within the agreed scope are remediated at zero additional cost.
